India’s Union Ministry of Corporate Affairs (MCA) has extended the deadlines for corporates filing financial statements and annual returns for FY 2025-26 under the Companies Act, 2013. Companies can now submit specified financial statement forms without paying additional fees until 31 December 2026 and annual return forms until 31 January 2027.

The extension, announced via general circular no. 05/2026 dated 24 October 2026, provides companies with greater flexibility to meet their filing obligations. However, it does not extend the statutory deadline for holding Annual General Meetings (AGMs) or waive other compliance requirements under the Companies Act, 2013.

Financial statement filing deadline extended till 31 Dec.

Under paragraph 2(a) of general circular no. 05/2026, companies can file their financial statements for FY 2025-26 without additional fees until 31 December 2026.

Filing requirement

1. AOC-4

Financial statements

2.  AOC-4 CFS

Consolidated financial statements

3. AOC-4 XBRL

Financial statements in XBRL format

4. AOC-4 NBFC (Ind AS)

Financial statements of applicable non-banking financial companies (NBFCs) following Ind AS

5. AOC-4 CFS NBFC (Ind AS)

Consolidated financial statements of applicable NBFCs following Ind AS

This extension gives companies additional time to complete their financial reporting and filing processes. It may benefit businesses that need to finalise audited financial statements, consolidate information across group entities or prepare their financial statements in the prescribed XBRL format.

Companies must still prepare, audit and approve their financial statements in accordance with the applicable statutory requirements. While the circular relaxes additional filing fees, it does not remove the underlying financial reporting obligations.

Annual return filing deadline extended to 31 January 2027

The MCA has also extended the filing period for annual returns for FY 2025-26. Under paragraph 2(b), companies can submit MGT-7 and MGT-7A without additional fees until 31 January 2027.

Applicability

MGT-7

Companies required to file the prescribed full annual return

MGT-7A

Eligible One Person Companies (OPCs) and small companies filing an abridged annual return

Annual returns contain information about a company’s shareholding structure, members, indebtedness, directors, key managerial personnel (KMP), board and committee meetings, and other prescribed corporate particulars.

This extended period allows companies to compile and verify these details before submission. Businesses should reconcile annual return information with their statutory registers and corporate records to maintain consistency across regulatory filings.

MCA corporate filing extension does not cover AGM deadlines

The circular explicitly states that the relaxation does not extend the statutory timeline for holding AGMs under the Companies Act, 2013.

This distinction matters because holding an AGM and filing annual statutory forms constitute separate compliance obligations. Under Section 96, companies must generally hold an AGM within six months from the end of the financial year, subject to applicable statutory provisions and any valid extension granted separately by the Registrar of Companies.

For companies following a financial year ending 31 March 2026, the ordinary AGM deadline would generally be 30 September 2026.

Consider a company that failed to hold its AGM within the prescribed period. Although it can file its financial statements by 31 December 2026, without additional fees, this relaxation does not exempt it from the consequences of the AGM default.

Section 99 of the Companies Act, 2013 provides for penalties for defaults relating to AGM requirements under Sections 96, 97 and 98. Companies must therefore assess their AGM compliance separately and cannot treat the extended filing deadlines as relief from these obligations.

Additional fees apply after the extended deadlines

The notification states that filings post the extended deadline will attract all applicable fees as well as additional fees under the Companies (Registration Offices and Fees) Rules, 2014. It also clarifies that the applicable fees will be calculated from the dates on which the filings originally fell due under the Companies Act, 2013.

Treatment of Filings

MCA filing category

Filing within extended deadline

Filing after extended deadline

Financial statements (AOC-4 and applicable variants)

No additional fees until 31 December 2026

Normal and applicable additional fees

Annual returns (MGT-7 and MGT-7A)

No additional fees until 31 January 2027

Normal and applicable additional fees

For example, if a company submits its AOC-4 form on 5 January 2027, it cannot claim the additional-fee relaxation because the filing falls after 31 December 2026. Companies must pay the applicable fees, with additional fees calculated from the original statutory due date.

The circular does not introduce revised fee rates or a separate calculation mechanism.

Compliance deadlines and implications for companies

The circular provides companies with additional time to complete two important annual filing requirements. However, businesses should maintain separate compliance schedules for financial statements, annual returns and AGMs.

Companies should identify the applicable AOC-4 form, complete their financial statement approval and audit processes, and verify annual return information before submission. They should also confirm whether they have met their AGM obligations within the prescribed period.

Overall, the announcement provides limited procedural relief by extending the filing periods for financial statements and annual returns without additional fees. While the relaxation gives companies more time to complete their FY 2025-26 statutory submissions, it does not waive their filing obligations, extend AGM deadlines or exempt them from other requirements under the Companies Act, 2013.
